iGate Global Solutions Ltd(formerly Mascot Systems Ltd), incorporated in Dec 1993 to provide offshore software
delivery services from its offshore development centre located at Bangalore. Latter the company has set up two
more offshore development centres at Chennai and Pune. The company originally incorporated as a private
limited company was converted into a public limited company on Jan 2000. The Board has changed the name of
the company to 'iGATE Global Solutions Limited' during the year 2003. As a fully integrated technology and
operations company, it provides: * Process Consulting - Enterprise Process Optimization, Strategic Loacation of
services, Contact Center Consulting, Data Analytics. * IT Services - Technology Architecture, Enterprise
Systems, Enterprise Application Integration, Data Services, Custom Application Development and Maintenance.
* Business Process Outsourcing - for mortgage banking, Insurance and capital market industries, Finance &
Accounting services and Contact Center Solutions across verticals. * Business Services Provisioning which
includes the complete solutions delivery models, methodologies, work-group products, processes, systems,
tools, people and knowledge management for distributed delivery manangement. The company provides its
services in a systematic context with full metrics support for both business unit and business support functions.
In 2000, the company came out with a public issue of 3 million equity shares of Rs 4/- each at a premium of Rs
476/- which included a book built portion of 2250000 equity shares. The company has taken both organic and
inorganic path for growth. The company has acquired 100% equity capital of Mastech Malaysia Sdn. Bhd, a
software service company in Malaysia. On January 2003 the company acquired eJiva Inc, which has strong
expertise in Enterprise Application Services, Data Management etc for a purchase consideration of US$
9,460,000. During November,2002 the company acquired Mascot Systems GmBH. On May 2003 the company
has acquired the Contact Centre & Facility Management Businesses of IT&T Ltd and also IT&T Technology
Services Ltd for a purchase consideration of Rs. 188.81 Million and Rs. 23.9 Million respectively. Further the
company has acquired 50.57 % stake in Quintant Services Ltd, a pioneering BSP company along with iGate
Corp. and has signed an agreement with the continuing non resident founders of Quintant to acquire their holding
in Quintant. With this, 100 % of stake of Quintant will be held by the company along with iGate Corp. During
2003 the company has acquired the information technology solution and services business of IdeaSpace
Solutions Ltd for a cash consideration of Rs.7.67 crores through its subsidiary. In 2003, the company has
entered into a JV agreement with CIBER Inc, USA to form an India-based Joint Venture company 'CIBER India
Pvt Ltd' incorporated in Oct 2003. The company holds 49% equity stake of CIBER. Further the company entered
into JV agreement with Software AG, Germany (SAG) a leading provider of system software and services to form
an India-based JV Company 'Software AG (India) Pvt Ltd' incorporated in Aug 2003. The company holds 49%
Equity stake of SAG India. The company has amalgamated two of its subsidiaries viz. AquaRegia Technologies
Ltd, Hyderabad and iGate Global Process Outsourcing Ltd, Bangalore with itself from 1st April 2003. In 2005
Saint Life Pharmaceutical Research Laboratories Pvt Ltd, another subsidiary of the company, was amalgamated
with the company. The company has set up a subsidiary company in Wuxi, China in 2003.It has also
incorporated Mascot Global Process Outsourcing Ltd as its Wholly Owned Subsidiary. In October,2002 Mascot
has opened a branch in Sydney,Australia to enhance its presence in Asia-Pacific. During 2005 the company
completed its 2nd Phase project of Developement Center in Whitefield, Bangalore, adding 2,00,000 Sq.feet area
to the existing facility. Also the company has extended its Nodia Centre which has voice and data facility, upto 75,000 sq.ft.
Further the company has opended a Developement Centre in Chennai with 35,000 sq.ft.
